NON-DISCLOSURE AGREEMENT (NDA)

This Non-Disclosure Agreement (“Agreement”) is entered into on 11-25-2025 by and between:

(Hereinafter referred to as the “Client” / “Freelancer” / “Receiving Party”)

Together referred to as the “Parties.”

1. PURPOSE OF AGREEMENT

The purpose of this Agreement is to protect all confidential, proprietary, technical, creative, commercial and strategic information exchanged between Trendvertiser and the Client/Freelancer during the course of providing services such as:

• Digital marketing
  
  

• AI-generated photoshoots
  
  

• Social media management
  
  

• Website & branding services
  
  

• Advertising campaigns
  
  

• Strategy & consulting
  
  

• Content development
  
  

2. DEFINITION OF CONFIDENTIAL INFORMATION

“Confidential Information” includes, but is not limited to:

• Business plans and strategies
  
  

• Client data, contact lists & leads
  
  

• Login credentials & system access
  
  

• Marketing campaigns, reports & analytics
  
  

• Financial information (budgets, pricing, revenue)
  
  

• Internal processes & agreements
  
  

• Intellectual property & creative assets
  
  

• Any non-public information whether shared digitally, verbally, visually or in writing
  
  

Confidential Information does not include information that:

• Is already publicly available (not due to breach)
  
  

• Is lawfully obtained from a third party
  
  

• Is independently developed without referencing disclosed information
  
  

3. OBLIGATION OF CONFIDENTIALITY

Each Party agrees to:

• Keep all Confidential Information strictly confidential
  
  

• Not disclose it to any third party without written permission
  
  

• Use it only for purposes directly related to the business relationship
  
  

• Protect it with the same care used to protect its own information
  
  

These obligations shall continue even after termination of the business relationship.

4. PORTFOLIO & MARKETING RIGHT (IMPORTANT CLAUSE)

The Client / Freelancer expressly grants Trendvertiser the right to use the following for portfolio, website, social media, proposals, presentations, case studies and marketing purposes:

• Company name
  
  

• Logo
  
  

• Website URL
  
  

• Screenshots of work done
  
  

• Campaign creatives
  
  

• AI images created
  
  

• Before/After visuals
  
  

• Results and performance (non-sensitive)
  
  

This right is granted royalty-free, non-exclusive and worldwide unless the Client/Freelancer provides a written objection before the start of the project.

Trendvertiser agrees that:

• Sensitive data will NEVER be shared
  
  

• No passwords, client lists or financial details will be disclosed
  
  

• All use will be professional and respectful of the Client/Freelancer’s brand
  
  

If the Client/Freelancer wishes to remove their work from the portfolio, they must submit a written request and Trendvertiser will comply within 30 business days.

5. INTELLECTUAL PROPERTY

All original work created by Trendvertiser, including but not limited to:

• Designs
  
  

• Content
  
  

• Strategies
  
  

• AI outputs
  
  

• Templates
  
  

• Code
  
  

• Campaign structures
  
  

Shall remain the intellectual property of Trendvertiser until full payment is made.

Once paid, ownership of final deliverables may transfer to the Client unless otherwise agreed in writing.

This does not affect Trendvertiser’s right to use the work in its portfolio.

6. NON-CIRCUMVENTION (For Freelancers & Clients)

The Client / Freelancer agrees that they shall NOT:

• Bypass Trendvertiser to directly contact Trendvertiser’s clients
  
  

• Attempt to hire Trendvertiser’s team members directly
  
  

• Replicate or copy Trendvertiser’s business model, process or structure
  
  

• Offer same services to Trendvertiser’s existing clients
  
  

This restriction will remain in effect for 2 years after termination of the relationship.

7. DURATION OF AGREEMENT

This Agreement shall remain in effect:

• During the working relationship
  
  

• And for a period of 5 years after termination
  
  

Portfolio rights granted to Trendvertiser shall remain permanent unless revoked in writing.

8. BREACH & LEGAL REMEDY

Any breach of this Agreement may result in:

• Immediate termination of the relationship
  
  

• Legal action for damages & compensation
  
  

• Injunction relief (court order)
  
  

• Recovery of losses and legal fees
  
  

Trendvertiser reserves all rights under applicable laws.

9. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by the laws of India.

All disputes shall fall under the exclusive jurisdiction of the courts of
Vaniyambadi, Tamil Nadu, India.

10. ACCEPTANCE & SIGNATURES

By signing below, both Parties confirm that they have read, understood and agreed to all terms of this NDA.
